Terms of Service

In these Terms of Service ("Terms"), the following definitions apply:

• "Themys", "we", "us", or "our" refers to Themys, the entity operating the compliance automation and data analysis platform available at themys.nanocorp.app.
• "Client", "you", or "your" refers to any individual or legal entity that subscribes to, accesses, or uses our Services.
• "Services" refers to the AI-powered compliance auditing, document generation, data analysis, monitoring tools, and any related features provided by Themys.
• "Analyses" or "Reports" refers to any output, recommendation, document, audit result, or data produced by the Services.
• "Client Data" refers to any data, information, documents, or materials provided by the Client or uploaded to the platform in connection with the Services.

Themys grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business compliance purposes, subject to these Terms and the subscription plan you have selected.

Permitted Use

• You may use the Analyses produced by the Services for your own internal compliance planning, regulatory auditing, and documentation purposes.
• You may share Reports internally within your organization, provided all recipients are bound by obligations of confidentiality no less protective than those set forth herein.

Restrictions

• You shall not redistribute, sublicense, resell, publish, or otherwise make the Analyses available to any third party — whether for commercial or non-commercial purposes — without prior written consent from Themys.
• You shall not use the Services to provide consulting, compliance-as-a-service, or any similar offering to third parties.
• You shall not reverse-engineer, decompile, or attempt to extract the underlying models, algorithms, or source code of the Services.
• You shall not use the Services in any manner that violates applicable law or regulation.

The Analyses produced by the Services are generated through automated AI-driven processes. While we strive for accuracy and relevance, these outputs:

• Do not constitute professional advice. The Analyses shall not be construed as, and are not intended to replace, financial advice, legal counsel, medical guidance, accounting services, or any other form of professional consultation.
• Are not a substitute for qualified professionals. You should always consult with appropriately qualified professionals before making decisions based on any information provided by the Services.
• Depend on the quality of Client Data. The accuracy, completeness, and usefulness of the Analyses are directly contingent upon the quality, accuracy, and completeness of the data you provide. Themys cannot guarantee the accuracy of outputs generated from incomplete, outdated, or erroneous input data.

By using the Services, you acknowledge and agree that any reliance on the Analyses is at your own risk, and that Themys bears no responsibility for decisions made on the basis of such Analyses.

You retain all rights, title, and interest in and to your Client Data. By uploading or providing Client Data to the platform, you grant Themys a limited, non-exclusive license to process such data solely for the purpose of delivering the Services.

Client Responsibilities

• You are solely responsible for the accuracy, quality, legality, and completeness of Client Data provided to the platform.
• You represent and warrant that you have all necessary rights, consents, and authorizations to provide the Client Data to Themys for processing.
• You shall not upload data that is unlawful, infringes third-party rights, or contains malicious code.

Impact on Results

Themys expressly disclaims any liability for inaccurate, incomplete, or misleading Analyses that result from deficiencies in the Client Data. The principle of "garbage in, garbage out" applies: the quality of our outputs is inherently limited by the quality of your inputs.

Themys IP

All rights, title, and interest in and to the Services — including but not limited to the platform, software, algorithms, AI models, user interface, documentation, trademarks, and any improvements or derivative works — remain the exclusive property of Themys. Nothing in these Terms transfers any ownership rights to you.

Client IP

You retain all intellectual property rights in your Client Data. Themys does not claim ownership of any data you provide.

Output Ownership

Subject to your active subscription and compliance with these Terms, you are granted a non-exclusive license to use the Analyses generated for you through the Services. This license is limited to your internal business purposes and does not include the right to redistribute, resell, or sublicense such outputs. Themys retains all rights in the underlying methodologies, templates, and frameworks used to generate the Analyses.

Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant Themys a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose, including improving the Services.

Each party acknowledges that in the course of the engagement, it may receive or have access to confidential information of the other party ("Confidential Information").

Obligations

• Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party, except as required by law or with the prior written consent of the disclosing party.
• Each party shall use the Confidential Information solely for the purposes of performing its obligations or exercising its rights under these Terms.
• Each party shall take reasonable measures — at least equivalent to those it uses to protect its own confidential information — to safeguard the other party's Confidential Information.

Exceptions

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is rightfully received from a third party without restriction.

Data Security

Themys implements industry-standard technical and organizational security measures to protect Client Data against unauthorized access, alteration, disclosure, or destruction. However, no system is completely secure, and Themys cannot guarantee absolute security.

Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of Themys — arising out of or in connection with these Terms, the Services, or any Analyses — whether in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the total amount actually paid by you to Themys during the twelve (12) months immediately preceding the event giving rise to the claim.

Exclusion of Indirect Damages

In no event shall Themys be liable for any:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption (beyond restoration from backups)
• Consequential, incidental, special, punitive, or exemplary damages
• Indirect damages of any kind
• Cost of procurement of substitute goods or services
• Business interruption or loss of goodwill

— even if Themys has been advised of the possibility of such damages, and regardless of the cause of action or the theory of liability.

No Warranties

To the fullest extent permitted by law, Themys disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

You agree to indemnify, defend, and hold harmless Themys and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms
• Your Client Data or any claim that it infringes third-party rights
• Decisions made or actions taken based on the Analyses
• Your violation of any applicable law or regulation

Access to the Services requires a paid subscription. By subscribing, you agree to the following:

• Billing. Fees are billed monthly in advance according to your selected plan. All amounts are stated in euros and are exclusive of applicable taxes unless otherwise indicated.
• Auto-Renewal. Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time before the next renewal date.
• No Refunds. Fees paid are non-refundable except where required by applicable law. Cancellation takes effect at the end of the current billing period.
• Price Changes.We reserve the right to modify pricing with at least 30 days' prior written notice. Continued use of the Services after such notice constitutes acceptance of the new pricing.

These Terms are effective from the date you first access or use the Services and continue until terminated.

• Termination by You. You may terminate your account at any time by canceling your subscription through the platform or by contacting us at themys@nanocorp.app.
• Termination by Themys. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if we discontinue the Services.
• Effect of Termination. Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
• Data Retrieval. You may request export of your Client Data within 30 days following termination. After this period, we may delete your data in accordance with our data retention policies.

Themys reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Effective Date" above. For significant changes, we will make reasonable efforts to provide additional notice (such as via email).

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Services and cancel your subscription.

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France. Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
